Tidel Supply Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Tidel Supply website, online store, and related services (together, the "Services"), and any purchase you make from us. In these Terms, "Tidel Supply", "we", "us" and "our" refer to Tidel Supply. "You" refers to the person or business using the Services.

Please read these Terms carefully. They include important information about your rights and ours, including warranty disclaimers, limitations of liability, and the law that governs any dispute between us.

1. Acceptance of These Terms

By visiting, browsing, or purchasing from the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Services.

Our Shipping Policy and Refund Policy also form part of these Terms. Where a specific policy addresses a subject in more detail than these Terms do, that policy governs.

2. Who May Use the Services

You must be at least the age of majority in your state of residence to purchase from us. By placing an order you confirm that you have the legal capacity to enter into a binding contract, and that any information you give us is accurate, current and complete.

We sell primarily to businesses, installers, integrators, and institutions in the United States. We may decline to open an account or accept an order at our discretion.

3. Products, Descriptions and Availability

We are an independent reseller of communications, paging, networking and related equipment. We describe our products as accurately as we can, using manufacturer specifications, part numbers and images.

• Product images are representative. Colour, finish and packaging may vary from what is shown.
• Manufacturers change specifications, revisions and packaging without notice to resellers.
• Availability is not guaranteed. Stock shown on the site may sell out, and items may be discontinued by the manufacturer.
• We may limit quantities on any product or order.

Always confirm the manufacturer part number against your own requirement before ordering. See section 9 on compatibility.

4. Orders and Acceptance

Your order is an offer to buy. It is not accepted until we send you a confirmation and the item ships. Placing an order, receiving an order-received email, or being charged does not by itself create a binding contract.

We may refuse or cancel any order, in whole or in part, including after an order confirmation has been sent. Reasons include pricing or description errors, suspected fraud, stock that is no longer available, resale or export restrictions, or an order that appears to be placed by a reseller or automated system in breach of these Terms. If we cancel an order you have already paid for, we will refund you in full.

5. Quotes and Volume Pricing

Quotes we issue are valid for the period stated on the quote, or for 30 days if no period is stated. Quoted pricing depends on the quantity, configuration and delivery terms described in that quote, and does not carry over to a different order.

A quote is not a reservation of stock. Availability is confirmed only when an order against the quote is accepted.

6. Prices, Taxes and Payment

Prices are shown in US dollars and may change without notice. The price that applies to your order is the price in effect when we accept the order, as set out in your confirmation.

• Posted prices exclude sales tax, shipping and handling unless we say otherwise.
• Sales tax is calculated at checkout based on your delivery address and applicable law.
• You authorise us to charge your chosen payment method for the full order total. Payment is processed by our payment providers; we do not store full card numbers.
• If a payment is declined, reversed or charged back, we may suspend or cancel the order and any related account.

7. Shipping, Delivery and Risk of Loss

Shipping terms, cutoff times, carriers and costs are set out in our Shipping Policy. In summary: standard shipping is free for eligible orders shipped within the contiguous United States (48 states), and delivery estimates are estimates only.

Title and risk of loss pass to you when we hand the products to the carrier. We are not liable for carrier delays, weather, customs processing, or other events outside our control. Claims for shipments that arrive damaged or do not arrive are handled as described in the Shipping Policy.

8. Returns, Refunds and Cancellations

Returns, restocking fees, non-returnable items and refund timing are governed by our Refund Policy. Please read it before ordering, particularly if you are buying opened, special-order or non-stock items.

9. Product Compatibility and Suitability

You are responsible for confirming that a product suits your system, environment and regulatory requirements before you buy. This matters in our categories more than most: constant-voltage speaker circuits, VoIP platform interoperability, PoE budgets, plenum ratings, and life-safety code compliance all depend on your specific installation.

Information on our site, including specification notes and application guidance, is provided in good faith as general assistance. It is not engineering advice, and it does not replace the manufacturer's documentation, a licensed installer, or the authority having jurisdiction over your project.

10. Manufacturer Warranties

Products are covered by the manufacturer's warranty, where one is offered. Tidel Supply does not provide its own separate warranty on the products it resells, and we make no warranty beyond what the manufacturer gives.

Warranty claims are made under the manufacturer's terms and process. We will help you identify the right route and provide proof of purchase, but the warranty itself runs between you and the manufacturer.

11. Accounts and Account Security

If you create an account, you are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly at support@tidelsupply.com if you believe your account has been used without your permission.

We may suspend or close an account at our discretion, including for breach of these Terms.

12. Acceptable Use

You agree not to use the Services:

• for any unlawful purpose, or to solicit others to take part in an unlawful act;
• to breach any regulation, rule, law, or local ordinance, including export control and resale restrictions;
• to infringe our intellectual property rights or those of anyone else;
• to harass, abuse, defame, or discriminate against any person or group;
• to submit false or misleading information;
• to upload or transmit viruses or any other code that may affect the operation of the Services;
• to scrape, harvest, or otherwise collect data from the Services by automated means without our written permission;
• to interfere with or circumvent the security features of the Services.

We may terminate your use of the Services for breach of this section.

13. Intellectual Property

The Services, and their original content, layout, selection and arrangement, are owned by Tidel Supply and protected by intellectual property law. Nothing in these Terms transfers any of our rights to you.

You may not copy, reproduce, republish, sell, or exploit any part of the Services without our written permission, other than the ordinary use of the site to browse and place orders.

14. Third-Party Brands and Trademarks

Product names, brand names, model numbers, logos and trademarks belong to their respective owners. They appear on this site to identify the products we sell.

Their use does not imply that Tidel Supply is endorsed by, sponsored by, or affiliated with those manufacturers, except where we state a specific authorised reseller relationship.

15. Feedback and Submissions

If you send us ideas, suggestions, reviews or other material, whether at our request or not, you agree that we may use, edit, copy, publish and act on it without restriction and without any obligation to compensate you or keep it confidential.

You are responsible for anything you submit, including that it is accurate and does not infringe anyone's rights.

16. Third-Party Links and Services

The Services may link to sites and resources we do not control, including manufacturer documentation, carrier tracking and payment providers. We are not responsible for their content, accuracy, or practices, and a link is not an endorsement.

Any dealings you have with a third party through the Services are between you and that third party. Review their terms before you rely on them.

17. Our Relationship with Shopify

This store is hosted on Shopify Inc., which provides the online platform that lets us sell our products to you. Shopify's role is limited to providing that platform. Your contract of sale is with Tidel Supply.

18. Privacy

Our handling of personal information is described in our Privacy Policy. By using the Services you agree to that policy.

19. Errors, Inaccuracies and Omissions

Occasionally there may be information on the Services that contains a typographical error, inaccuracy or omission relating to a product description, price, promotion, availability, or lead time.

We may correct any error and change or update information, including after you have submitted an order. Where a price or description error is obvious, we may cancel the affected order and refund you rather than honour the error. We are under no obligation to update information on the Services except as required by law.

20. Disclaimer of Warranties

Except as expressly stated in these Terms, the Services and the products sold through them are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure or error-free, or that the results obtained from using them will be accurate or reliable. Nothing in this section limits the manufacturer warranties described in section 10, or any right you have that cannot be excluded under applicable law.

21. Limitation of Liability

To the fullest extent permitted by law, Tidel Supply and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or the cost of substitute goods, arising out of your use of the Services or of any product purchased through them, whether based in contract, tort, strict liability or otherwise, and whether or not we were advised such damages were possible.

Where liability cannot be excluded, our total liability for any claim is limited to the amount you paid for the product or order giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions our liability is limited to the greatest extent permitted by law.

22. Indemnification

You agree to indemnify and hold harmless Tidel Supply and its officers, employees and suppliers from any claim or demand, including reasonable legal fees, made by a third party as a result of your breach of these Terms or the documents they incorporate, or your violation of any law or the rights of a third party.

23. Termination

These Terms remain in effect while you use the Services. You may end them by ceasing to use the Services and closing any account you hold.

We may terminate or suspend your access at any time, without notice, if we believe you have breached these Terms. Obligations incurred before termination survive it, including payment for orders already accepted.

24. Governing Law and Venue

These Terms and any dispute arising from them or from your use of the Services are governed by the laws of the State of North Carolina and the federal laws of the United States, without regard to conflict of law principles.

You and Tidel Supply agree to the exclusive jurisdiction and venue of the state and federal courts located in North Carolina.

25. Changes to These Terms

We may update these Terms at any time by posting a revised version on this page and changing the effective date at the top. Changes take effect when posted.

It is your responsibility to check this page from time to time. Your continued use of the Services after a change is posted means you accept the revised Terms. The version in effect when you placed an order governs that order.

26. General

• Severability. If any provision of these Terms is found unenforceable, that provision is severed and the remainder stays in force.
• No waiver. Our failure to enforce any right or provision is not a waiver of it.
• Assignment. You may not assign these Terms without our written consent. We may assign them, including in connection with a merger or sale of our business.
• Entire agreement. These Terms, together with the policies referenced in them, are the entire agreement between you and Tidel Supply regarding the Services, and replace any earlier agreement or understanding.
• Headings. Section headings are for convenience only and do not affect interpretation.
